Programme Overview

Modules

Module 1 presents major factors that set the framework for any partnership. After discussing key features of every partnership, Module 1 outlines the two structures for Partnering: Joint Ventures and Alliances. The module also provides an overview of the core tasks that prospective partners need to jointly conduct as well as the major phases that every Partnering project has in common. Further, Module 1 describes how teams of experts need to work together during a Partnering project and presents an approach for the systematic identification of potential partners.

Module 2 presents in detail the core tasks that prospective partners need to jointly conduct during a partnering project: Operating model development, business planning and governance systems design. After describing how to jointly develop the target operating model for a partnership, Module 2 presents by Partnering structure modes of contributions as well as exit options and their implications. Further, Module 2 presents how to translate the target operating model of a partnership into a joint business plan and how earnings from a partnership may be distributed according to the relative value of the partners’ contributions. Module 2 also presents the decisions bodies to govern a partnership. After discussing the role and responsibilities of the Supervisory Board in a partnership, Module 2 describes mechanism to resolve conflicts as well as implications of management control.

Module2

Module 3 presents in detail the major phases that all Partnering projects have in common: the Term Sheet Phase, Due Diligence Phase and Finalisation Phase. Module 3 describes how to jointly specify the key elements of a prospective partnership in a Term Sheet. Further, Module 3 outlines how to validate a prospective partnership during the Due Diligence Phase. This module illustrates key areas of a mutual Due Diligence, as well as the role of Data Request List, Electronic Data Room, and other information sources in order to develop a Due Diligence report. Module 3 also presents how to convert the Term Sheet into a Partnering Contract as well as how to complete launch preparation during the Finalisation Phase.

Key Facts

Certification 

This digital programme is completed with an online exam to achieve the certificate of “Certified M&A Associate” (Frankfurt School).The exam is based on a case study, which can be written within the programme period or in addition to the digital training. 

Upon successful completion of both the Certified M&A Associate (M&A2go) and Joint Venture & Alliances (JV&A) courses, you will be conferred with the title of Certified Senior M&A Associate.

Upon successful completion of both the Certified M&A Integration Associate (PMI2go) and Joint Venture & Alliances (JV&A) courses, you will be conferred with the title of Certified Senior M&A Integration Associate.

All who are currently or in the future will be involved in growing their organisations through partnerships. 

Study Time

Study time for the digital programme: 10 - 12 hours

Access to the programme is provided for 3 months.

During this time, you can access the learning content as often as you like. The above mentioned hours are only indicative so that you can estimate the amount of work involved.
